Ooredoo Maldives PLC is delighted to invite applications for the post of Director to represent the general shareholders on the Board of Directors of the Company. For the purpose of encouraging gender diversity on the Board, Ooredoo also encourages more females to apply for the post.
The Company's Nomination and Remuneration Committee (NRC) will review the applications and make recommendations to the Board of Directors. The Board of Directors will choose and publish the details of eligible applicants to shareholders, along with the Notice & Agenda, in February 2022 for the AGM in March 2022.
Shareholders in attendance at the AGM can vote in person or by proxy (each shareholder or proxy is entitled to one vote if voting by a show of hands or one vote for each share held by that shareholder where voting is by poll). The applicant with the most votes will be elected as the Director on the Board who will represent the public shareholders.
The Director elected by the general members shall take office from the AGM at which he or she is elected until the beginning of the third AGM thereafter, according to Clause 110(b) of the Articles. As a result, the Director elected at the AGM in March 2022 will serve until the start of the AGM in 2024.

Applications are to be submitted to Ooredoo Maldives Plc’s Head Office, 6th Floor, H. Sunleet, Boduthakurufaanu Magu, Male’, in a sealed envelope labelled “Application for Board Director” or sent via an e-mail to investor.relations@ooredoo.mv before 2pm on Wednesday, 19th January 2022.
